Yes I would say that is not a true Joint Venture and more of an investment with no chance of a return other that the joy of watching Ernie's joy as he consumes one after the other grin

The equal value is not stated correctly in my view. Joint ventures can have more than two entities and there can be all kinds of combinations of values. The 'Joint Venturers' can establish all the operating rules and the decision making mechanisms without regard to what each entity bring to the joint venture. The important part is that they agree on this in advance.
